Terms & Conditions

These terms govern your use of NEXA (the "Service"), provided by Swiftshift Lda (trading as NEXA), registered in Portugal ("we", "us"). When you use NEXA you are contracting with Swiftshift Lda. By creating an account or continuing to use the Service, you agree to these terms.

1. The Service

NEXA is a personal AI companion that helps you organise tasks, calendar, money, home and goals, including an AI chat assistant and trip planner. Some features require a paid plan (NEXA Plus, Pro or Family).

2. Your account

You must be at least 18 years old, or have authority to bind the organisation you use NEXA for. Keep your login details confidential; you are responsible for activity under your account. Provide accurate information and keep it up to date.

3. Acceptable use

You must not misuse the Service, including:

• using it for anything unlawful, fraudulent, or to send spam;
• infringing anyone's intellectual property or privacy;
• interfering with its security — e.g. malware, probing, scraping, or circumventing limits;
• reverse engineering, reselling or redistributing the Service.

4. AI features

• You must not use the AI features to create illegal content, deepfakes, hate speech, harassment, malware, or to attempt to bypass safety controls ("jailbreaking").
• You are responsible for your prompts and inputs, for having the rights to any content you submit, and for how you use the outputs.
• As between you and us, you own your inputs and, to the extent permitted by law, the outputs generated for you. We may host and process them only to provide the Service.
• AI outputs can be inaccurate or incomplete. Check important information yourself. NEXA does not give professional financial, legal, medical or tax advice.
• We may remove or restrict content, refuse or filter outputs, and suspend accounts that break these rules. Rights holders can report infringing content to wearenexusltd@gmail.com; repeated infringement leads to account termination.

5. Intellectual property

Swiftshift Lda owns the Service and all related software, documentation and branding. We grant you a limited, non-exclusive, non-transferable right to use the Service within your plan.

6. Payments and subscriptions

Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, renewal, tax, cancellation and refund terms are set out in Paddle's Buyer Terms. Paid plans renew monthly until cancelled; if you cancel, you keep paid features until the end of the current paid month. See our Refund Policy.

7. Availability

We work to keep NEXA running well, but we do not guarantee it will be uninterrupted or error-free. To the fullest extent permitted by law, the Service is provided "as is" without implied warranties of merchantability or fitness for a particular purpose.

8. Suspension and termination

We may suspend or end your access for material breach of these terms, non-payment, security or fraud risk, or repeated or serious policy violations. You can stop using NEXA and delete your account at any time. When your account ends, we delete your data as described in our Privacy Notice.

9. Liability

To the extent permitted by law, our total liability is limited to the fees you paid in the 12 months before the claim, and we are not liable for indirect or consequential losses (such as lost profits or data). Nothing limits liability for fraud, death or personal injury caused by negligence, or anything else that cannot be limited by law.

10. General

These terms are governed by the laws of Portugal. We may update them and will notify you of material changes. Questions: wearenexusltd@gmail.com.
